I Am Julia Henning Coaching Services Agreement (Effective 2026)

This Master Coaching Services Agreement ("Agreement") governs the purchase and use of coaching services offered by Julia Henning and affiliated business entities. It applies to all coaching offers including The Beacon, The Blueprint, and The Bridge purchased through Kajabi or related platforms.

1. Parties

This Agreement is entered into between Julia Henning and/or her business entity ("Coach," "Company," "we") and the purchasing client ("Client," "you").

2. Effective Date

This Agreement is effective for all purchases made on or after January 1, 2026.

3. Services Covered

This Agreement applies to coaching programs, sessions, digital resources, Voxer or messaging support, workshops, and related services, including but not limited to:

• The Beacon

• The Blueprint

• The Bridge

• Any original, custom, private, VIP, beta, pilot, referral-only, invite-only, or privately created coaching containers, intensives, mentorships, workshops, or bespoke service packages offered by Company

Specific deliverables, duration, pricing, and scheduling for each offer are described on the applicable checkout or sales page.

4. Nature of Services

Coaching is educational, consultative, and transformational in nature. Coaching is not psychotherapy, counseling, mental health treatment, medical care, financial advice, legal advice, or crisis support.

5. No Guarantees

Client understands results vary based on personal participation, timing, effort, circumstances, and other factors beyond Company control. No guarantees are made regarding income, healing, relationships, business success, mental health outcomes, or specific life changes.

6. Client Responsibility

Client remains solely responsible for decisions, actions, wellbeing, and results arising from participation. Client agrees to seek licensed medical, legal, psychiatric, or financial professionals where appropriate.

7. Mental Health / Crisis Disclaimer

Services are not appropriate for emergency mental health needs. If Client is in crisis or may harm self or others, Client must contact local emergency services, 988, or a licensed provider immediately.

8. Scheduling / Rescheduling / No Shows

Sessions must be scheduled within the applicable program term unless otherwise agreed. 24 hours notice is requested for rescheduling. Missed sessions or cancellations with insufficient notice may be forfeited at Company discretion. Late arrivals shorten the session and end at the scheduled time.

9. Messaging Support

If a program includes Voxer, voice note, text, or asynchronous support, access is limited to normal business boundaries and reasonable response times. Support is not real-time, on-demand, emergency, or unlimited labor despite any marketing language describing access.

10. Fees / Payments

Client agrees to pay all fees shown at checkout. Payment plans authorize recurring charges until paid in full. Failed payments may pause access, scheduling, or support until current. Client is responsible for taxes, card fees where disclosed, and maintaining updated payment information.

11. Refund Policy

Unless expressly stated otherwise in writing, all sales are final and non-refundable. Because time, access, scheduling capacity, and intellectual property are reserved upon purchase, no refunds are owed for unused sessions, partial participation, change of mind, scheduling conflicts, or perceived lack of results.

12. Chargebacks

Client agrees to contact Company first to attempt good-faith resolution. Unauthorized chargebacks after receiving access, scheduling, materials, or services may be disputed with supporting records.

13. Confidentiality

Company will use reasonable care with private information shared in sessions. However, confidentiality cannot be absolutely guaranteed across third-party platforms or electronic communications. Company may disclose information when required by law or where there is risk of harm.

14. Intellectual Property

All materials, frameworks, worksheets, recordings, written content, exercises, and methods remain Company intellectual property unless otherwise stated. Client receives a limited personal, non-transferable license for personal use only. No resale, copying, distribution, training others with materials, or commercial reuse without written consent.

15. Recordings

Sessions may not be recorded by Client without prior written permission. If Company records any session, ownership remains with Company unless otherwise agreed.

16. Testimonials / Media Release (Optional)

If Client voluntarily provides feedback, testimonials, or public comments, Company may use them for marketing with first name only unless anonymity is requested in writing.

17. Professional Boundaries

The relationship is professional in nature. Coaching access does not create friendship, therapy, fiduciary duty, employment, partnership, or joint venture.

18. Termination

Company may terminate or suspend services for harassment, abusive conduct, repeated boundary violations, nonpayment, illegal activity, or misuse of services. In such cases, no refund is required to the extent permitted by law.

19. Limitation of Liability

To the fullest extent permitted by law, Company shall not be liable for indirect, incidental, consequential, emotional distress, lost profits, lost opportunities, or special damages arising from participation. Total liability shall not exceed the amount actually paid by Client for the specific service giving rise to the claim.

20. Assumption of Risk

Client understands coaching may involve emotional discomfort, behavior change, confronting beliefs, relationship shifts, and uncertainty. Client voluntarily assumes these risks.

21. Force Majeure

Company is not liable for delays or inability to perform due to events beyond reasonable control including illness, internet outage, platform failure, weather, natural disaster, family emergency, governmental action, or similar disruptions.

22. Governing Law / Venue

This Agreement shall be governed by the laws of the State of Illinois, without regard to conflict of law principles. Any dispute not otherwise resolved shall be brought in a court of competent jurisdiction located in Cook County, Illinois, unless Company elects another permissible venue.

23. Dispute Resolution

Before filing formal claims, parties agree to attempt informal resolution by written notice and good-faith discussion for 30 days.

24. Electronic Acceptance

By checking a box, clicking purchase, enrolling through Kajabi, signing electronically, or using services after purchase, Client acknowledges reading and agreeing to this Agreement.

25. Entire Agreement

This Agreement, together with the applicable sales page and checkout terms, constitutes the full agreement between the parties and supersedes prior discussions.

26. Severability

If any provision is unenforceable, remaining provisions remain in full force.
